Dear Wahoo Membership,
As promised, the following letter is intended to be distributed to all 2009 Wahoo membership in good standing. If you attended the annual meeting that was held in June, there was a lot of discussion and confusion regarding the procedure for amending the by-laws of the Woodland Hills Wahoos Booster Club.
The Board met early in August in order to review the by-laws. If you read the excerpts below, you will note that the actions taken at that meeting were in fact done in accordance with the by-laws. (Please refer to the selection highlighted in green below.) Based upon this information, the board voted to accept the results of the election which was held on June 23rd and approve the amendment to remove the excerpt highlighted in yellow.
Additionally, it is my intent, as Board President, to appoint another nominating committee and will charge said committee with the task of seeking out qualified members who are interested and willing to fill the position of President and any other positions which may remain unfilled. The election for vacant board positions will be held, as announced at that meeting, on October 18, 2009. (See selection highlighted in blue.) The results of that election will be posted on www.wahoos.org and on our blog site.
Section 1. ANNUAL ELECTIONS: There shall be an annual election, the exact date to be determined by the President, and at which time the Board of Directors for the ensuing year shall be elected. The newly elected officers shall be installed at the annual meeting.
Section 2. NOMINATING COMMITTEE: Not less than 30 days prior to the annual election, the President shall appoint, with approval of the Board of Directors, a nominating committee of not less than three members. Said committee shall, not less than ten days prior to the annual election, decide upon and make recommendations to the members the names of candidates for election to the Board of Directors for the ensuing year. There is no limitation to the number of years a person can serve on the Board of Directors, however, an individual may not serve more than 2 terms in any one Board position and the President is limited to serving one term.
Section 4. AMENDMENTS: These by-laws may be amended from time to time by deletions, additions, or changes, by a majority vote of the membership present at a regular meeting. Any such proposed amendments to these by-laws may be submitted in writing to the Secretary of the Board of Directors, this then being subject to approval of the Board of Directors. In addition, any proposal to amend these by-laws may be made from the floor at any regularly scheduled meeting and be voted on by those present.
